1. Company and regulatory information

Ellipse Entertainment Limited (the “Company”) has its registered office situated at 5B, First Floor, St Anne’s House, Victoria Street, Alderney GY9 3UF, Channel Islands. The Company is licensed and regulated by the Alcohol and Gaming Commission of Ontario (“AGCO”) under the provisions of the Gaming Control Act, 1992 and the regulations thereunder, the standards and other policies promulgated by the AGCO and is governed by the terms of its agreement with iGaming Ontario (“iGO”) for the purposes of operating and offering internet gambling services to persons located in Ontario through the Website. The company is also licensed and regulated by the Alderney Gambling Control Commission under license no. 145 C1, C2 and 193 C2A.

2. General terms

These terms and conditions constitute the legal agreement between you and us in respect of your use of the HighFlyerCasino website and any other remote product that we may offer from time to time including, without limitation, any HighFlyerCasino module or tablet applications or websites and downloadable client (the "Service").

  1. By registering an account with us, you acknowledge that you have read and agree to be bound by these terms and conditions, including our privacy policy and the rules of our Website (collectively, the “Agreement”).

  3. These terms and conditions apply equally irrespective of whether the Service is accessed via desktop browser, mobile browser, mobile device, tablet device or any other device (each a "Device").

  4. Any specific conditions contained within the various product terms and conditions shall, where appropriate, be equally applicable to all other products.

These terms and conditions are subject to change (as set out below).

  6. All bets and wagers accepted by us are subject to these terms and conditions. It is a condition of holding an account with hightflyercasino.com that you agree to accept these terms and conditions.   8. These terms and conditions shall be governed by and interpreted in accordance with the laws of Ontario and the applicable federal laws of Canada and you agree to submit to the non-exclusive jurisdiction of the courts of the Province of Ontario.

  9. You are not required to participate on our Website or utilise the Service, and such participation if elected by you is at your sole option, discretion and risk.

3. Opening an account

  • The Service is intended for only for individuals who are physically located in Ontario and who are eligible to use the Service. Person who are not eligible to use the Service are described below.

  • By registering for an Account, you warrant, represent and covenant that you are eligible to use the Service and are not any of the following:

  1. An individual under nineteen (19) years of age;

  2. An individual who has advised us that the individual is participating in a self-exclusion process that applies to the Service;

  3. An individual who is known by us to have been restricted from accessing the Service or playing a lottery scheme as a condition of a court order;

  4. An individual who is the subject of a written direction issued by the Registrar of the AGCO requiring that the individual be refused access to the Service;

  5. An officer, member of the board of directors of the Company;

  6. Executives or staff of a trade union who represent or negotiate on behalf of employees employed by the Company;

  7. Employees of registered suppliers who maintain or repair gaming equipment for the Company;

  8. Members or employees of the AGCO; or

  9. Officers, members of the board of directors, or employees of the Ontario Lottery and Gaming Corporation (“OLG”) or iGO, except employees of OLG to whom a legislative exception applies.

  • We reserve the right to terminate your account and exclude you from using the Service if at any time we suspect that you are not eligible to use the Service.

  • Only one hightflyercasino.com account is permitted per person. In the case of a customer opening more than one account, we reserve the right to suspend and close duplicate accounts, to void any bets placed, to retain all monies in such duplicate accounts and to bar the customer from opening accounts and using the Service in the future. Should we decide in the exercise of our sole discretion to leave one account open when closing any duplicate account(s), we will leave open the first account that was opened with us, to which your remaining deposits, if any, will be transferred.

  • A maximum of two accounts is permitted to be registered per household. We reserve the right to close duplicate or additional accounts, to void any bets placed, to retain all monies in such duplicate accounts, and to bar the customer from opening accounts and using the Service in the future. Should we decide in the exercise of our sole discretion to leave one account open when closing any duplicate account(s), we will leave open the first account that was opened with us, to which your remaining deposits, if any, will be transferred.

  • Your account is solely for your benefit. You shall not allow any other individual, to access and/or use your account, password or identity, to accept any prize or to access and participate in the Service. You shall be fully liable for any activities undertaken on your account by a third party, including any losses incurred by a third party on your account.

4. Account checking provision

  1. By registering for an account, you agree that we may perform verification checks to confirm your personal details (including, but not limited to, your age, identity, residence, occupation and financial information) (the "Customer Information") that you have given us ("Verification Checks"). The Verification Checks must be completed to our satisfaction as a requirement to completing your registration for an account.

  2. In order to satisfy our regulatory obligations and protect the security of your account, we may perform ongoing Verification Checks at any time during the term of the Agreement.

  3. In order to carry out the Verification Checks, we may supply the Customer Information you have given us to third party agencies. They will check the Customer Information against public and private databases. You agree that we, and these third party agencies, may process, use, record and disclose the Customer Information you have given us and that such Customer Information may be recorded by us or them. For your protection, any communication with us may be recorded and monitored.

  4. As part of these Verification Checks, we may request additional documentation or information from you and we will advise you of such requests at the time.

  5. Whilst we are performing the Verification Checks we may restrict your access to the Service in whole or in part including but limited to, preventing the withdrawal of funds in your account.

  6. If, following Verification Checks, we are unable to verify your Customer Information and/or you are unable or unwilling to provide such additional documentation or information that we may request as part of the Verification Checks then we reserve the right to deactivate or close your account and withhold any funds that may be held therein.

  7. Should the documentation or information that you provide us as part of these Verification Checks fail our internal security checks – for example, if we suspect that they have been tampered with, or are in any way provided to mislead or misrepresent – we shall be under no obligation to accept such documents as valid, and nor to provide feedback on the exact nature of our findings with regards to these documents, and in such circumstances we reserve the right to deactivate or close your account and withhold any funds that may be held therein.

5. Deposits and withdrawals from your account

  • Please note that all transactions are processed in Canadian Dollars. You may be impacted by the banks currency conversion charges upon making a deposit or a withdrawal.

  • We will not extend credit nor lend money to you.

  • Transfer of funds between players is not possible and strictly forbidden. Accounts are not transferable, and players are prohibited from selling, transferring and/or acquiring accounts to/from other players.

  • HighFlyerCasino offers several different methods for making a deposit or a withdrawal from an account. For further details on the payment options currently offered, and any charges associated click 

  • You shall ensure that all deposits into your account are from a payment source for which you are the named account holder.

  • Any deposits into your HighFlyerCasino account will reflect in the Games application showing the cumulative player balance at that time. A personalised "My Accounts" section in the application will give more detailed analysis of gaming activity.

  • When associating a debit or credit card with your account, you may only use cards that are valid and issued by lawful institutions and that legally belong to you. We retain the right to prohibit the use of company credit cards. The maximum number of cards that may be registered on any individual account at any given time is five.

  • The minimum initial deposit amount accepted at the site is CAD$20. All subsequent deposits are required to be a minimum of CAD$20.

  • Withdrawals can only be made to a payment account for which you are the named account holder.

  • Your withdrawal will be refunded to the most dominant deposit method used in the last 30 days. Where this is not possible, we will require an alternative payment method to be added to your account e.g. InstaDebit.

  • In order to comply with banking and licensing regulations, account holders may be required to provide proof of identity and/or address. The following documents may be required:

  1. a copy of the front and back of the card registered at the Website;

  2. proof of address (e.g. utility bill or card/bank statement) reflecting your name and address, and dated not older than six months; and

  3. a copy of your Drivers Licence or Passport.

  • We reserve the right to request such documentation prior to processing a withdrawal, should circumstances dictate.

  • If any sum is incorrectly credited to your account, it shall be up to you to point out this error to us. Otherwise, bets placed subsequently may be cancelled by us. You may withdraw funds from your account at any time providing all payments have been confirmed.

  • We do not charge for any deposits although you should note that some Card companies categorise betting transactions as `cash` and may levy a fixed and/or interest charge from the date of payment.

  • We are not a financial institution and no interest is payable on deposits held in your account.

  • You may only make one withdrawal request in any 24 hour period.

  • A withdrawal is pending from the time that you issue an instruction to the accounts department to make such withdrawal until the withdrawal is confirmed by the close of business for the next day, which can be up to 24 hours later.

We also reserve the right to declare any or all Wins null and void from the date of the deposit made by you that did not result in cleared funds.

  • Furthermore, we reserve the right to withhold the payment of any withdrawal to you until such time as any deposit made by you has cleared and the site has received cleared funds.

  • The time taken to process your withdrawal is subject to any player and withdrawal verification that is required.

  • The minimum withdrawal is CAD$10. You may elect to donate any residual balance to charity.

6. Segregation of player funds

Your real money balances are retained in a segregated bank account distinct from those bank accounts utilized by the Company to operate its business. 7. Inactive & dormant accounts

  1. If you do not log into your account for a period of 12 months, your account will be deemed 'Inactive’.

  2. If your account is Inactive for a period of one year then your account will be deemed ‘Dormant’.

  3. If your account is Dormant and has a balance, we will use reasonable efforts to notify you via the most current contact details you provided to us that there is a balance in the Dormant account which may be withdrawn by you.

  4. If we receive no response from you within 60 days of the notification being sent by us or you have not withdrawn the balance from the Dormant account within 60 days of us sending the notification to you, the balance in the Dormant account will be considered abandoned and will be retained by us. At such point we will close your account.

8. Deactivating & closing an account

  1. We reserve the right to deactivate or close your account at any time, without stating our reasons.

  2. We shall deactivate and/or close your account if requested by the Registrar of the AGCO. You have the right to deactivate or close an account at any time as long as you have complied with the terms stated in these terms and conditions, and providing the account does not show a balance is due to us. You should indicate your desire to deactivate or close an account in writing

  3. Such deactivation or closure shall occur within 72 hours after receipt by us of your request. You accept that you shall remain responsible for any activity on your account between advising us of your notification and the deactivation or closure of your account by us. We are not liable for the non-receipt of any account deactivation or closure requests.

  4. Upon closure of your account, you shall be sent the cash balance held in the account provided that any wagering requirements have been met. Closure of an account will automatically render any open games, bonus monies, pre-purchased tickets and entries in any promotions as void.

9. Data privacy

  • All information on your account held by us is securely stored and remains confidential except where otherwise stated in the Terms and Conditions (including, for the avoidance of doubt, the Privacy Policy).

  • We are required by law to comply with data protection requirements in the way in which we use any personal information collected from you in your use of the Services. We therefore take very seriously our obligations in relation to the way in which we use your personal information.

  • You acknowledge that we collect and use your personal information so that you may access our Service. We will protect your personal information and comply with applicable data protection laws in respect of the documents you supply to us. We shall only retain your personal data for as long as necessary to provide you with our Service or for as long as we are legally required to retain it.

  • Prior to your use of and during your use of the Services it will be necessary for us to collect certain information about you, including your name and date of birth, your contact details, and may also include information about your marketing preferences.

  • By providing us with your personal information, you consent to our processing your personal Information:

  1. for the purposes set out in the Terms and Conditions (including the Privacy Policy); and

  2. for other purposes where we need to process your personal information for the purposes of operating the Services, including by sharing it with our service providers and agents for these purposes. We may also disclose your personal information in order to comply with a legal or regulatory obligation.

  • We may retain copies of any communications that you send to us (including copies of any emails) in order to maintain accurate records of the information that we have received from you.

  • We use ‘cookies’ to make the experience of using the Service better. Information on deleting or controlling cookies is available at HighFlyerCasino. 10. Warranties, representations and covenants

You warrant, represent and covenant with us (and acknowledge that we are relying on such warranties, representations and covenants) that:

  1. You are physically located within the Province of Ontario at all times when using the Service.

  2. Your use and interest in the Service is personal and you are using the Service only for your own private entertainment and not acting for or on behalf of a third-party.

  3. You are solely responsible for recording, reporting, paying and accounting to any relevant governmental or taxation authority for any tax or other levy that may be payable on your winnings from the Service.

  4. You agree and acknowledge that you will not provide any information or make any statement to us that is untrue, false, incorrect or misleading including in particular (but not limited to) information relating to your identity and contact details.

  5. Any and all information that you have provided to us is complete, true and accurate (and will continue to be true) in every respect throughout the term of this Agreement and you agree to duly notify us of any changes to such information immediately.

  6. You will not breach any laws applicable to you by using the Service, and your opening of an account, downloading of software and/or participation in the activities available through the Service complies with all laws, statutes and regulations applicable to you.

  7. You are solely responsible for the acquisition, supply and maintenance of all of the computer equipment and telecommunications networks and Internet access services and all other consents and permissions that you need to use in order to access the Service.

  8. All monies used by you in the Service are lawfully yours and are not obtained from an illegal source.

  9. You will not use the Service in any way as a money transfer system or for any unlawful or fraudulent activity or prohibited transaction (including money laundering) under the laws of any jurisdiction that applies to you. If we have a reasonable suspicion that you may be engaging in or have engaged in fraudulent, unlawful or improper activity, including, without limitation, money laundering activities, or conduct otherwise in violation of the Agreement, your access to the Service may be terminated immediately and/or your account deactivated or closed. If your account is deactivated or closed in such circumstances, we are under no obligation to refund to you any funds that may be in your account. In addition to terminating your access to the Service and/or deactivating or closing your account, we shall be entitled to inform relevant authorities, other online service providers and banks, credit card companies, electronic payment providers or other financial institutions of your identity and of any suspected unlawful, fraudulent or improper activity and you will cooperate fully with us in investigating any such activity.

  10. You will not deliberately take steps to prevent us from identifying your location when using the Service.

  11. You are legally able to enter into contracts.

  12. You have not already had an account closed by us in accordance with clause 21 of this Agreement; and

  13. You understand and accept the risk that by using the Service you may win or lose money.

11. Username, password & customer information

  1. When opening a hightflyercasino.com account, you are required to choose a username and password that will be used to access your account. These should be kept secure. You can change your password at any time via the Options function in the application.

  2. You are responsible for the secrecy of your own username and password. You will not reveal your username or password to any person and you shall take all steps to ensure that such details are not revealed to any person. You are solely responsible if your username and/or password are “hacked” from your Device. Bets placed by third parties aware of these details will be considered valid. It is also your sole responsibility to ensure that all information supplied is accurate and up to date at all times. If you suspect that such information has been compromised, you must inform us immediately and take proper actions to prohibit or prevent any unauthorized access to any part of your account or funds. We shall not be held responsible in case of any unauthorized use of your account.

  3. Usernames or nicknames may not be offensive, contain obscenities or promote other sites, or URLs.

  4. HighFlyerCasino reserves the right to change, or request a change to any username or nickname without further notice, that contains any of the above.

  5. Should you not comply with any request with respect to a change to your username or nickname then HighFlyerCasino reserves the right to suspend your account until such time as your username or nickname has been changed.

12. Responsible gambling

  • While the majority of people do gamble responsibly, for some, gambling can become a problem. We are therefore committed to providing our customers with a responsible gambling environment. 13. Promotions

  1. We run promotional programs which you may benefit from. Advertised offers are generally limited to one per customer and are subject to additional terms and conditions appropriate to such offers. You agree to abide by the terms and conditions of these promotional programs.

  2. We reserve the right to amend or withdraw any promotion at any point for whatever reason.

  3. HighFlyerCasino reserves the right to revoke and withhold all future bonus entitlements from you if, in our sole discretion, we deem that you are abusing the benefits of receiving bonus monies.

  4. You will not be eligible for bonuses or jackpots if you have not made an initial deposit at hightflyercasino.com.

  5. Bonuses and winnings derived from them may not be withdrawn from your account unless the wagering requirements have been met. These wagering requirements are described above in the section on Deposits and Withdrawals. Where you attempt a withdrawal and the wagering requirements have not been met, then we reserve the right to reverse the pending withdrawal.

  6. In relation to Bonus Bucks (BBs); the maximum allowable balance is 20,000,000 BBs.

  7. If you have been inactive for three months then you will have any bonus monies reversed from your real money account if the conditions or requirements under which such bonus monies were credited to your account have not been met.

14. Opening hours

The hightflyercasino.com website is available to take bets 24 hours a day, 7 days a week. The only exception to this will be planned or unplanned `downtime` where our servers are unable to accept bets.

16. Territorial matters

  1. The Service is intended for only for individuals who are physically located in Ontario and who are eligible to use the Service as described in Clause 3.

  2. Under no circumstances will hightflyercasino.com be liable to you for any breach of any law that may occur as a result of your use of the Service. The Company reserves the right to restrict your use of the Service at any time if you are found to be in breach of this clause.

  3. You agree not to attempt to circumvent our jurisdictional controls to access the Service, whether by use of a virtual private network or otherwise.

17. Valid bets

  1. We do not accept bets by telephone or e-mail. Our staff cannot place bets on your behalf.

  2. We cannot be held responsible for an incorrectly placed bet or bet not being placed for any reason, including but not limited to; computer malfunctions and failure of telecommunications services or internet connections. We will not honour `bets` that have been submitted to us, but not confirmed in the manner described above.

  3. hightflyercasino.com accepts no responsibility for the loss of connection between a client`s Device and its Games server howsoever caused.

  4. In the event of a disconnection occurring either immediately prior to or at any stage of a game, our server will continue to automatically "play" all valid bets. Winning bets will automatically result in the crediting of the customer’s account.

  5. Where all winners have been credited for any particular game as recorded in our database, we will not issue refunds for any losing ticket, regardless of whether or not the client was able to view the ticket and/or game in question.

  6. In the event of a malfunction at any of the games, all pays and plays will be voided. (Please refer to the game rules).

  7. Any winnings derived from play by customers acting together or in a collective fashion with the intent of gaining an unfair advantage over the Service, or its games, or promotions offered, or other customers will be voided. All winnings derived from voided winnings will also be declared void. Funds forfeited by you in this manner will be donated to a charitable organisation that focusses on education and treatment of gambling addicts and their families.

  8. Bets on our products will be void if our products (whether electronically obtained or obtained by other means) are counterfeited, mutilated, forged, altered or tampered with in any way, if illegal, mechanically or electronically reproduced, obtained outside authorized legitimate channels or if they contain printing, production, typographical, mechanical, electronic or any other errors. Errors due to the computer hardware or internet connection are your sole responsibility. No refunds shall be given. Taxes, if any, on any winnings are your sole responsibility.

18. Incorrect credits

  1. In the event that a sum is mistakenly credited to your account we shall be entitled to make the appropriate adjustment to your account.

  2. In the event that a sum is mistakenly credited to your account, and this money is withdrawn, then you agree to reimburse us this money upon request.

19. Intellectual property rights

  1. All website design, text, graphics, music, sound, photographs, video, the selection and arrangement thereof, software compilations, underlying source code, software and all other material forming part of the Service are subject to copyright and other proprietary rights which are either owned by us or used under license from third party rights owners. To the extent that any material comprised within the Service may be downloaded or printed then such material may be downloaded to a single device only (and hard copies may be printed) solely for your own personal, non-commercial use.

  2. Under no circumstances shall the use of the Service grant to you any interest in any intellectual property rights (for example copyright, know-how or trademarks) owned by us or by any third party whatsoever, other than a personal, non-exclusive, non-sub-licensable license to use such intellectual property rights in connection with your personal, non-commercial use of the Service.

  3. No rights whatsoever are granted to use or reproduce any trademarks or logos which appear on the Website or otherwise through the use of the Service except as specifically permitted in accordance with these terms and conditions.

  4. You may not, nor may you allow any other person to copy, store, publish, rent, license, sell, distribute, alter, add to, delete, remove or tamper with the Website or any part of it in any way or directly or indirectly disrupt or interfere (or attempt to disrupt or interfere) with or alter the Service, other than in the course of viewing or using the Service in accordance with the terms and conditions.

  5. All intellectual property rights in the name "HighFlyerCasino", the logos, designs, trademarks and other distinctive brand features of HighFlyerCasino and any content provided by HighFlyerCasino or any third party for inclusion on the Website vest in HighFlyerCasino or the applicable third party. You agree not to display or use such logos, designs, trademarks and other distinctive brand features in any manner without our prior written consent.

20. Game rules

  1. The rules governing individual games available at HighFlyerCasino can be found on each game’s information tab. The game rules should be considered by you prior to your use of the Service.

  2. The games shown here are conducted outside of the jurisdiction of Alderney and conducted with an entity not regulated or monitored by the Alderney Gambling Control Commission.

21. Reservation of rights.

We reserve the right to:

  • Close your account at any time without stating our reasons;

  • Close your account and withhold payment of monies and recover from your account the amount of any affected pay-outs, bonuses or winnings if we know or reasonably suspect you of any of the following:

  1. Being in breach of any of the provisions of this Agreement;

  2. Being in breach of any applicable law;

  3. Involvement in any form of collusion, fraudulent practice or unlawful or improper activity, including without limitation the use of any software-assisted methods or techniques or hardware devices;

  4. Manipulation of the Service; and

  5. Use of the Service for any other purpose than for what it is intended;

  • Deduct or reverse any funds that may have been incorrectly applied to your account as a result of error, omission or otherwise and to void any transactions that you may have placed using such incorrectly applied funds;

  • Void any winnings or withdrawals from a transaction which are found to have been as a result of a malfunction and take any necessary action to correct such malfunction. A malfunction is considered to be a failure of any system or systems, hardware or software that would cause an error in the processing of a gaming transaction such that the normal processing of that transaction is interrupted and unrecoverable. Any unexpected programming error or wrong data validation which gives different results than what is expected or required will be considered a technical malfunction for these purposes.

  • Request such documentation or information from you at any time for the purposes of undertaking Verification Checks and your account may be suspended and any funds in the account may be withheld until such documentation or information is provided by you;

  • Close duplicate or additional accounts, and to make void any transactions placed in duplicate or additional accounts;

  • Alter, change or refuse any payment method available for depositing or withdrawing funds to or from your account for any reason;

  • Vary the standard deposit or withdrawal limits on the Service for individual customers at our discretion;

  • Use your Personal Information to contact you in relation to your account;

  • Refuse or accept only part of any transaction made by you through your account;

22. Technical issues and related matters

Where unexpected technical problems or circumstances outside of our control arise, including technical problems of our third party service providers, we may cancel bets and give refunds to players. Additionally, you acknowledge and agree that your Device and/or Internet connection may affect the performance and operation of the Service, and for this reason we cannot guarantee that the Service will operate without faults or errors or without interruptions. We do not accept any liability for any failures or issues that arise due to your equipment, Internet connection or our third-party providers. This includes any inability to place bets or wagers you may experience, or your inability to view or receive information concerning certain games. You acknowledge that in relation to peer-to-peer gaming, you may be at a disadvantage in relation to other players as a result of technical issues, such as slower network speeds or slower end user device performance.

  3. We have the right to limit, cancel and refuse bets if, in the exercise of our sole discretion, we consider them to be too large or if we see a betting pattern that leads us to suspects that the Service is being abused.

  4. Where a game is “stuck” in a state before it ends, for example in the case of a loss of connection while playing an active blackjack hand, we have the right to address such bets on a regular basis and refund the bet/wager to your Account.

If you do not comply with this clause and take advantage of or divulge any information about an error or incompleteness, we shall be entitled to any remedies available at law, and this shall include compensation for any costs it may have incurred in association with any losses, which would have resulted from your breach of this clause.
